End User License Agreement
This End User License Agreement (“EULA”) is between Stanch (“Stanch”) and the organisation that obtains the Stanch software (the “Customer”). It governs the Stanch endpoint agent for Windows and macOS, the Stanch browser extension for Chrome and Microsoft Edge, their helper programs and installers, and their updates (the “Software”).
If you are installing the Software for an organisation, you confirm that you are authorised to accept this EULA on its behalf, and by installing the Software it is accepted.
If you use a computer on which your organisation installed the Software, this EULA does not ask you to agree to anything. Your organisation is responsible for its use of Stanch; Stanch on your work computer explains what the Software does.
1. Relationship to the Customer’s agreement
The Software is part of the Stanch service, provided under the Terms of Service or another agreement between the Customer and Stanch (the “Customer Agreement”). Words defined in the Customer Agreement have the same meaning here. If this EULA conflicts with the Customer Agreement, the Customer Agreement prevails.
2. Licence
Subject to this EULA and the Customer Agreement, Stanch grants the Customer a non-exclusive, non-transferable, non-sublicensable licence, for the term of the Customer’s subscription, to install and use the Software in object-code form on devices that the Customer owns or manages for work, up to the number of devices or users in its order, solely for the Customer’s internal data-protection and security purposes.
The Customer may make a reasonable number of copies of the installers for deployment and backup.
3. Restrictions
The Customer must not, and must not allow anyone else to:
- copy, modify or create derivative works of the Software, except as this EULA allows;
- reverse engineer, decompile or disassemble it, except where the law expressly allows this despite this restriction;
- remove, disable or circumvent its security, licence or tamper protections;
- rent, lend, sell, sublicense or distribute it, or use it to provide a service to third parties;
- install it on devices that the Customer does not own or manage for work, or use it in breach of the Acceptable Use Policy or the law.
4. Ownership and third-party components
The Software is licensed, not sold. Stanch and its licensors own it and all intellectual property rights in it.
The Software includes open-source components, which are licensed under their own terms. The notices and licences that apply to them are provided with the Software or in its documentation, and nothing in this EULA limits rights those licences grant.
5. What the Software does on a device
The Software inspects information as it is sent from the device through the channels the Customer enables, and records, warns, removes sensitive parts or blocks according to the Customer’s rules. It shows notices to the person using the device and sends records of events, and information about the device and the health of the Software, to the Customer’s Stanch console. Inspection runs on the device. The data is processed as described in the Data Processing Addendum and the Privacy Policy.
To do this, and depending on the Customer’s settings, the Software runs as a system service and may:
- set the device’s proxy settings so that traffic to selected destinations passes through a local Stanch proxy, and add a Stanch certificate to the device’s trusted certificates so that it can inspect encrypted traffic to those destinations;
- connect to the Stanch browser extension, which the Customer installs in Chrome or Microsoft Edge;
- apply operating-system policies for removable storage, phones and nearby sharing, and for cloud sync folders;
- hold print jobs while they are checked, and block network access for selected applications;
- run helper programs for text recognition, audio transcription and on-device classification.
The Customer is responsible for deploying the Software lawfully, including telling the people who use the devices about it, as the Customer Agreement requires.
6. Updates
Stanch may provide updates to the Software. Where the Customer’s configuration and the platform allow it, the Software downloads and installs updates automatically, after checking that they are signed by Stanch; otherwise the Customer installs them. Some features may require a current version, and the Customer should keep the Software up to date. This EULA applies to every update unless the update comes with different terms.
7. Removal and end of the licence
This licence ends when the Customer’s subscription ends, or earlier if the Customer materially breaches this EULA and does not cure the breach within 30 days of notice. When it ends, the Customer must uninstall the Software from all devices. Uninstalling removes the Software and restores the settings it changed, as described in the documentation.
8. Warranty and liability
The warranties, disclaimers and limitations of liability in the Customer Agreement apply to the Software. If there is no Customer Agreement in force, the Software is provided “as is”, without warranty of any kind, and, to the fullest extent the law allows, Stanch is not liable for any damages arising from its use.
No data-loss prevention software detects or stops every transfer of sensitive information. The Software protects only the channels and applications its documentation describes as supported, and only while it is installed, running and configured.
9. Export and sanctions
The Customer will comply with the export-control and sanctions laws that apply to the Software, and will not use it, or allow it to be used, in a country or by a person subject to applicable sanctions.
10. Governing law
This EULA is governed by the law that governs the Customer Agreement. If there is none, it is governed by the laws of the State of Israel, and the courts of Tel Aviv-Jaffa, Israel have exclusive jurisdiction.
